Nokia stockholders might approve the acquisition of Alcatel﹒Lucent

It was reported that the general meeting of stockholder that hold in Helsinki today. It predicted that the Nokia stockholders
will approve the plan for acquiring Alcatel﹒Lucent at $16.6 billion.

Nokia announced in April that it would acquire Alcatel ﹒Lucent at the price of $16.6 billion last month. This request of
acquisition was approved by global Antitrust agencies, including American, Chinese and French antitrust branches.

After that, Nokia sent the official offer of acquisition to acquire Alcatel ﹒Lucent by means of stock swap on November 18 in
accordance with the memorandum of understanding they made before. Each Alcatel ﹒Lucent share is equal to 0.55 Nokia new issued
share.

If there are enough Alcatel ﹒ Lucent stockholders accept the offer, the acquisition will come to a deal on the condition that
more Nokia stockholders agree with. Their stockholders will support the acquisition deal if there is no unexpected incidents.

Nokia is aiming to build its firm to be the one-stop supplier for telecommunications company and internet services. If so, it
would rival with the burgeoning Huawei and traditional Ericsson.

When the consolidation of Nokia and Alcatel ﹒ Lucent is completed, the yearly revenue of new firm will reach $26.5 billion. There will be more related news concerns its acquisition reporting via the media presses.
